We are happy to pass on the invitation of  Andrzej Lulka i Wspólnicy law firm to the online training course titled: "Compensatory liability of board members of limited liability companies" which will be held on Wednesday, the 20th of March 2024 at 10:00.

 

As part of the training, you will be familiarise with the issue of indemnity liability of members of the bodies of capital companies (i.e. a limited liability company and a joint-stock company). You will learn about the risks associated with being a member of the management board, liquidator, member of the supervisory board, member of the audit committee in a capital company. You will discover the legal basis for indemnification liability but also what you can do to limit the risk of incurring indemnification liability. The course will give special attention to what a board member/liquidator should control if the company's financial condition is deteriorating and what pre-emptive measures they should take in order to free themselves from liability. 

The training is intended in particular for: members of management boards, members of supervisory boards, members of audit committees and liquidators of limited liability companies, advisers to the above-mentioned company bodies, employees of the Management Board Office/Corporate Department, employees of legal departments, partners of limited liability companies.

The training will take place in Polish. 

Training programme:

1. Civil liability of members towards the company:

- Legal basis of liability
- Does the discharge of a board member release him/her from liability towards the company?
- How to absolve oneself from liability?
- How to understand the breach of the duty of due diligence by a company body?
- When are claims for damages time-barred?

2. Liability of directors to creditors of the company:

- Liability for failure to pay share capital
- Liability if enforcement against the company proves ineffective
- Ways of exonerating oneself from liability
- Demonstrating lack of fault in not filing a bankruptcy petition
- Demonstrating the absence of creditor damage

3. Liability of the members of the bodies under the general principles of the Civil Code:

- Legal basis for liability
- Examples of acts that may give rise to liability for damages

Duration of training: 4 hours + 30 minutes break (total 4.5 hours)
